The Associate General Counsel & Assistant Corporate Secretary provides legal advice, corporate governance support, regulatory compliance oversight, and risk management guidance to the Company. The position also serves as Assistant Corporate Secretary, supporting Board and committee operations, corporate records management, and organizational governance practices.

What You’ll Do

  • Provide legal advice and guidance on life insurance products, operations, investments, distribution, claims, underwriting, technology, privacy, and corporate initiatives.
  • Review, draft, negotiate, and manage a broad range of commercial contracts and legal agreements.
  • Advise business units on state and federal insurance laws, regulations, and regulatory developments.
  • Support strategic initiatives and corporate transactions.
  • Monitor legislative and regulatory developments affecting the life insurance industry and advise management regarding potential impacts.
  • Serve as Assistant Corporate Secretary for the Company.
  • Assist in compliance program initiatives, which could include monitoring compliance with laws and regulations, market conduct requirements, anti-money laundering regulations, OFAC sanctions requirements, privacy and data protection laws.
  • Investigate compliance issues, complaints, and potential regulatory violations.
  • Assist in executing the Company’s fraud prevention program.
  • Review and oversee regulatory filings, disclosures, and reporting obligations.
  • Partner with Risk Management and Internal Audit functions to identify legal and compliance risks.
  • Participate in enterprise risk assessments and governance committees.
  • Develop controls and monitoring processes to mitigate legal and regulatory risks.
  • Assist management in evaluating new products, services, and business initiatives from a legal and compliance perspective.
  • Perform other duties as assigned.

What We’re Looking For

  • Juris Doct (J.D) from an accredited law school.
  • Active license and good standing in Hawaii.
  • 5 years of legal experience, preferably with a law firm serving insurance clients, or a life insurance company.
  • Experience with regulation, corporate governance, and compliance programs.
  • Familiarity with NAIC requirements and life insurance regulatory frameworks.

Salary: $140k – 165k/year
